1. Introduction and Acceptance
These Terms of Service TOS govern the agreement between the freelance creator ("ACOUARIA," "I," "Me," or "My") and the client("Client," "You", or "Your") engaging
my services. By engaging the Freelancer for any project, the Client agrees to be bound
by these TOS. These terms are designed to protect the Freelancer's creative rights globally.
2. Definitions
● Work Product: Any and all creative work, including but not limited to designs,illustrations, photography, written content, reference images or material, or any other tangible or intangible output created or developed by me for the Client under this agreement.
● Intellectual Property: IP, All patents, copyrights, moral rights, trademarks,
trade secrets, and any other form of intellectual property rights recognized in any jurisdiction.
● Final Deliverables: The specific version of the Work Product that the Freelancer delivers to the Client upon successful completion of the project and full payment.
● Drafts/Unused Concepts: Any Work Product that is not included in the Final Deliverables, including preliminary concepts, sketches, source files, and unused revisions.
3. Scope of Work
The specific scope of work, project timeline, and agreed-upon fees will be outlined in a separate Project Proposal or Statement of Work:
SOW, which, once agreed upon,
signed and authenticated, will be considered an integral part of these TOS.

5. Creative Rights and Intellectual Property
The core of this agreement pertains to the Freelancer's intellectual property rights, protected under international treaties, including the Berne Convention.
5.1. Freelancer's Retained Rights
Notwithstanding the license granted in Section 5.2, ACOUARIA retains all rights, title,
and interest in and to the Work Product, including all Intellectual Property rights and the underlying proprietary rights, in perpetuity and internationally, except for the specific usage rights explicitly transferred in the Final Deliverables upon full payment.5.2. Grant of License :Usage Rights)
Upon full and final payment of all outstanding invoices, the ACOUARIA grants the
Client a non-exclusive, non-transferable, worldwide, perpetual license to use the Final Deliverables solely for the purpose and use specified in the Project Proposal SOW.
5.3. Limitations on Use
The Client shall not do the following, internationally or otherwise, without prior written
consent and payment of additional fees:
● Sell, sublicense, modify, insert into LLMs or otherwise generative machines, or
create derivative works from the Final Deliverables beyond the agreed-upon
scope.
● Use any Drafts/Unused Concepts. All IP rights in Drafts/Unused Concepts
remain solely with ACOUARIA.
● Falsely represent authorship of the Work Product.
5.4. Moral Rights
ACOUARIA asserts their international moral rights in the Work Product, including the
right of attribution (paternity) and the right of integrity. The Client shall credit
ACOUARIA whenever the Work Product is publicly displayed, unless otherwise agreed
upon in the Project Proposal/SOW.
5.5 Ownership and Portfolio Rights
Unless otherwise agreed in a separate written agreement signed by ACOUARIA,
ACOUARIA retains full legal ownership, copyright, and intellectual property rights to all
work, concepts, drafts, designs, code, and materials created for the Client, now and in
the future. The Client is granted a non-exclusive, perpetual license to use the final delivered work for its intended business purposes. ACOUARIA also retains the right to display, reproduce, and describe the work, including the Clientʼs name, logo, and non-confidential project details, in ACOUARIAʼs portfolio, website, social media, case studies, and promotional materials for the purpose of showcasing professional work.Ownership or exclusive rights may only transfer to the Client through a separate formally written agreement that explicitly states such transfer and is signed by theACOUARIA.
6. Confidentiality
ACOUARIA agrees to keep confidential all proprietary and confidential information of
the Client, provided it is marked as such or is information that a reasonable person
would understand to be confidential. This obligation does not extend to information that is publicly known or independently developed by ACOUARIA.
7. Indemnification
The Client agrees to indemnify, defend, and hold harmlessACOUARIA from any and all claims, liabilities, costs, and expenses (including reasonable attorneys' fees) arising
out of or related to the Client's use of the Work Product, including any claims of infringement by a third party resulting from the Client providing content or instructions
to ACOUARIA
9. Governing Law and Jurisdiction.
this agreement shall be brought exclusively in the courts located in Sweden.This agreement shall be governed by and construed in accordance with the laws of, without regard to its conflicts of law principles. Any dispute arising out of Sweden,this agreement shall be brought exclusively in the courts located in Sweden.10. Notices.
All notices and communications must be in writing and addressed to:
● Freelancer: ACOUARIA via email at [email protected]
● Client: As detailed in the Project Proposal/SOW
Client Acknowledgment By signing below or proceeding with the project, the Client acknowledges that they have read, understood, and agree to be bound by the above Terms of Service,including the international protection of ACOUARIA's Creative Rights.
